本協(xié)議書于2013年6月xx日在中國訂立，簽約雙方為：

鑒于甲方以公司和法律全責(zé)及作偽受罰的原則保證：甲方具有開出銀行保函的能力及經(jīng)驗,。

WHEREAS Party A warrants with full corporate and legal responsibility under penalty of perjury that Party A has the financial capacity, capability and experience to cause the issuance of BG.

鑒于乙方以公司和法律全責(zé)及作偽受罰的原則保證: 乙方具有融資資格,、財力、能力和經(jīng)驗,，提供必要的貸款款項,。

WHEREAS Party B warrants with full corporate and legal responsibility under penalty of perjury that Party B has the financial capacity, capability and experience to provide the necessary loans.

因此，甲方愿意開出銀行BG,，乙方愿意提供貸款給甲方作項目投資?，F(xiàn)在根據(jù)雙方的承諾，主張和方便條件下,，決定確認(rèn)同意以下限期，條件和結(jié)算程序：

AND WHEREAS Party A is desirous to cause the issuance of the BG and Party B is desirous to provide the loans for Party A’s Investment Projects. NOW THEREFORE, for and in consideration of the mutual promises, assertions and covenants herein and for other valuable consideration the parties hereby acknowledge and agree under the following terms and conditions and closing procedure:-

CLOSING PROCEDURE

1. 雙方簽署該合作融資協(xié)議書,，同時由雙方提供各自的公司設(shè)立文件. 董事會決議和授權(quán)簽署代表的證件掃描件以及各自的銀行坐標(biāo)

Upon signing this agreement, both parties shall provide Certificate of Corporation, Board Resolution,，scanned copy of authorized signatory ID and each party’s banking coordinates.

2. 乙方首先向甲方出示授信額度證明書，受益人為收證方,。

Party B will provide the bank credit line facility certificate with recipient as beneficiary

3. 同時甲方提供公司及開證銀行坐標(biāo)給乙方,，由乙方到銀行備案。

Party A will provide her full corporate and banking coordinates to Party B for bank records.

4. 甲乙雙方于各自銀行備案后,，甲方立即通知開證銀行向乙方的收證銀行以：MT199/799發(fā)出預(yù)開證通知書,，乙方銀行收到甲方銀行的預(yù)開證通知書后即用 MT799回復(fù)于開證銀行。同時甲方派員在乙方銀行賬戶加簽聯(lián)名,。甲方得到上述保證后在三天內(nèi),，即通知開證銀行向乙方收證銀行發(fā)送：MT760電開本至乙 方收證銀行，乙方銀行查證無誤后,，在三天內(nèi), 乙方將百分之 的BG面值現(xiàn)金轉(zhuǎn)到甲方受益人的賬戶,。
