一是侵犯的客體和犯罪對象不同,。前者侵犯的客體是國家金融管理制度，犯罪對象是公眾存款,；后者侵犯的客體是公私財產(chǎn)所有權(quán),，犯罪對象可以是任何財物。
二是客觀方面不同,。前者包括用欺騙方法吸收公眾存款,，還包括利用強(qiáng)迫、利誘等其他方法吸收公眾存款,；后者只表現(xiàn)為以虛構(gòu)事實或隱瞞真相的欺騙方法獲得財物,。
三是主觀方面不同。前者無非法占有目的,；后者必須具有非法占有的目的,。
四是主體要件不同。前者既可以由自然人,，也可以由單位構(gòu)成,；后者只能由自然人構(gòu)成。
